Under the open innovation condition, the paper develops the theory frame of innovation resources acquiring mechanism built by Teece. Based on the theory frame, the paper develops two key factors, which are regimes of appropriability and transaction contract according to the classification of technological resources and commercial resources. The nature of innovation’s resources acquiring evolves from the controlling right of innovation resources into the co-sharing. That is, technology resources’ appropriability evolves to formal institute and informal institute, its function changes from the enterprise outer variable into the inner strategic choice, then the market transaction contract of commercial resources evolves to embed transaction and market transaction.
