Abstract Based on the theory of Hermeneutics and institution, through the text analysis of the spread of total quality management in China, this paper examines how the management thought is interpreted and reconstructed in the process of diffusion. It is found that the understanding and interpretation are within the framework of cultural and cognition, and reconstruction process is a blend of traditions and the reaction caused by random degeneration. The reconstruction process can be done as a management innovation, including rediscovering the significance, and reconstructing the major contents and knowledge combinations. The paper put forward the model of interpretation and reconstruction of management thought’s diffusion.
