Abstract This paper adopts exploratory case study methods, focusing on four overseas technology mergers and acquisitions of Hanergy Holding Group from 2014 to the present. The study sums up the whole process of overseas technology mergers and acquisitions, analyzes its chairman’s “integrated innovation” ideas, combining organizational capability to expound its innovation and the enterprise value creation path and developing the Chinese private enterprises overseas mergers and acquisitions practice path model of value creation. Furthermore, this study reveals different dimensions of “integrated innovation” in different stages of enterprise acquisitions overseas through influencing organizational capability and contributes to the innovation theory research, the practice of mergers and acquisitions and provides guidance for Chinese private enterprises.
