The importance of developing a performance model for the board of directors in listed companies was pointed out. An index system for the model was designed and how to implement this model was explained. Comprehensive evaluation mechanism of the comprehensive fuzzy evaluation system was described. Its practical example is given, showing that the evaluation system is characterized by the fast computation, clear results and direct and flexible displays.
